Hello! We have an OOD with two partners in Bulgaria, one of whom is the manager. We also want to make the second partner a Manager, because the first partner often resides abroad and the partner cannot take orders on behalf of the company. Can you tell me what documents are needed for the change in Commercial Registry. I know it is best to consult with a lawyer, but the situation is more peculiar, and I was asked for help. Depending on whether it is provided in the Articles of Association/Articles of Association of the company, the possibility to make these decisions in ordinary written form, i.e. without official certification, regarding the decision of the partners. With regard to the sample signature of the new manager, it will be necessary to have the list certified by a notary in Bulgaria, by the Bulgarian Consular Service of Bulgaria abroad or before a foreign notary, but in the latter case, depending on the country in which it is certified document, an apostille may be required. A number of details concerning the procedure should be taken into account. I recommend that you hire a lawyer to make it as easy as possible for you when preparing and submitting the documents to the Commercial Register.
